Welcome to Compound LTD (“Compound”, “we”, “our”, “us”) — a digital agency based in Georgia that connects clients with trusted freelancers and creative partners.

By accessing or using our website www.compound.ge and related services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”), as well as our Privacy Policy.

2. Use of Service

Compound provides creative, digital, and marketing services through collaboration with our in-house team and trusted freelance partners.

You agree to use our Service only for lawful purposes and according to these Terms. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, for any reason, without prior notice.

While we make every reasonable effort to ensure a reliable and high-quality experience, temporary downtime or maintenance may occur.

3. Purchases & Payments

When you purchase any of our services (“Purchase”), you may be asked to provide certain information, including billing details.

You represent and warrant that:

You have the legal right to use any payment method you provide.
All information you submit is accurate and complete.

We may use third-party payment processors to facilitate transactions. By submitting your information, you authorize us to share your data with such providers, subject to our Privacy Policy.

We reserve the right to refuse or cancel any order if fraudulent, unauthorized, or illegal activity is suspected.

4. Content & Intellectual Property

All creative deliverables produced by Compound or our freelance partners on your behalf — including designs, websites, campaigns, and brand assets (“Deliverables”) — become your property once full payment is received.

However, any third-party materials (such as licensed stock images, icons, or fonts) used within Deliverables remain subject to their respective license terms.

You warrant that any content, materials, or references you provide for use in a project are legally yours or properly licensed.

Compound retains the right to showcase completed Deliverables in our portfolio and marketing materials unless you request otherwise in writing.

5. Freelancer & Partner Relationships

Compound may collaborate with freelance designers, developers, marketers, or other independent professionals (“Partners”) to complete projects.

All communication and payments with such Partners must go through Compound unless explicitly approved otherwise. Clients agree not to directly solicit, hire, or engage Compound’s Partners outside the Service for a period of 12 months after project completion.

In case of breach, Compound reserves the right to charge a conversion fee of USD 10,000 to cover recruitment, training, and partnership losses.

6. Confidentiality

We take confidentiality seriously. Any information you share with us — such as brand strategies, project materials, or business data — will remain confidential.

We will not disclose your information to third parties except:

To deliver our Service (e.g., sharing with trusted freelancers under NDA).
When required by law.

7. Portfolio Rights & Attribution

Unless otherwise agreed, Compound may display completed work (or parts of it) in our portfolio, case studies, or promotional materials to demonstrate our capabilities.

If you prefer your project to remain private, please email compoundge@gmail.com and we’ll respect that immediately.

When relevant, Compound reserves the right to include a small footer credit on digital deliverables (e.g., “Designed by Compound”) with a link to our website. You may request its removal at any time.

8. Prohibited Uses

You agree not to use our Service to:

Violate any Georgian or international law.
Infringe the rights of others.
Post or transmit malicious code, spam, or harmful content.
Interfere with or disrupt our systems.
Attempt to access data or accounts not intended for you.

9. Disclaimer of Warranty

Our Service is provided “as is” and “as available.” While we strive for excellence, we do not guarantee uninterrupted service or error-free results.

Compound disclaims all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the fullest extent permitted by law, Compound LTD and its affiliates shall not be liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use our Service.

Our total liability for any claim shall not exceed the total amount you paid us for the specific project giving rise to the claim.

11. Termination

We reserve the right to suspend or terminate your access to our Service at any time if you violate these Terms or misuse our platform.

You may terminate your relationship with Compound at any time by notifying us in writing. All outstanding payments for completed work remain due.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of Georgia.

Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Tbilisi, Georgia.

13. Amendments

We may update or revise these Terms from time to time. The latest version will always be available on www.compound.ge.

By continuing to use our Service after changes take effect, you agree to be bound by the updated Terms.
